1. About These Terms

These Terms and Conditions (“Terms”) govern your use of the OrcaLumi website (orcalumi.ai) and any services provided by OrcaLumi (ABN 49 294 045 089), operated by Arun Prakash as a sole trader registered in New South Wales, Australia.

By accessing this website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Services

OrcaLumi is a consulting service that helps businesses build custom solutions, redesign workflows, and upskill communities. We work with clients across three areas:

  • Build With You — Custom solutions shaped around your workflows, from prototype to production.
  • Rethink How You Work— Workflow redesign and custom skills that embed your team’s knowledge into the tools they use.
  • Bring People Along — Education through meetups, workshops, tailored team training, and our YouTube channel.

Each consulting engagement is governed by an individual client agreement. Service details, scope, deliverables, and pricing are confirmed in writing (by email or proposal) before work begins. In the event of any conflict between these Terms and an individual client agreement, the client agreement will prevail.

3. Free Educational Content

OrcaLumi offers free educational content including YouTube videos, meetup events, and online resources. This content is provided for general informational and educational purposes only. It does not constitute professional advice, and OrcaLumi makes no guarantees about the outcomes of applying any information provided through free content.

Your use of free content is subject to these Terms, including the intellectual property and disclaimer provisions below.

4. Eligibility

You must be at least 18 years of age to engage our consulting services. By engaging OrcaLumi, you confirm that the information you provide is accurate and complete.

5. Payment

Fees for all consulting engagements are agreed in writing before work begins, as part of an individual client agreement.

Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date.

All prices are quoted in Australian Dollars (AUD) unless stated otherwise. Where applicable, GST will be included or clearly indicated.

6. Client Cooperation

Consulting engagements require your reasonable cooperation, including providing timely access to information, systems, personnel, and feedback as needed. OrcaLumi is not responsible for delays or limitations in deliverables caused by late or incomplete input from the client.

7. Refunds

All payments are final and non-refundable unless otherwise specified in your individual client agreement. By engaging our services, you acknowledge and agree that no refunds will be issued except where required by law.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable law that cannot be excluded or modified by agreement.

8. Intellectual Property

Website Content

All content on this website — including text, graphics, logos, and resources — is the property of OrcaLumi or its licensors and is protected by Australian and international intellectual property laws. You may not reproduce, distribute, modify, or republish any content from this website without prior written consent from OrcaLumi.

Client Deliverables

Intellectual property in deliverables created for you as part of a consulting engagement transfers to you upon full payment of all applicable fees, unless otherwise specified in your individual client agreement.

OrcaLumi retains ownership of its pre-existing intellectual property, including its methodologies, frameworks, tools, and any general knowledge or techniques developed independently or prior to the engagement. Where pre-existing IP is incorporated into a deliverable, OrcaLumi grants you a non-exclusive, perpetual, royalty-free licence to use that pre-existing IP as part of the deliverable.

To the extent permitted by law, OrcaLumi consents to any use of deliverables that would otherwise infringe its moral rights under the Copyright Act 1968 (Cth), provided such use is consistent with the purpose for which the deliverables were created.

Free Content

Educational content provided through meetups, workshops, YouTube, and other free channels remains the property of OrcaLumi. You may access and use this content for your own personal or internal business learning purposes but may not reproduce, redistribute, or commercialise it without written consent.

9. Use of the Website

You agree not to:

  • Use this website for any unlawful purpose.
  • Attempt to gain unauthorised access to any part of the website or its systems.
  • Use any automated tools to scrape, copy, or extract content from the website.
  • Misrepresent your identity or affiliation when submitting enquiries.

10. Enquiries and Response Times

We aim to respond to all enquiries submitted through the website within 48 hours during business days (Monday to Friday, AEST). Response times may vary during weekends, public holidays, or periods of high demand.

11. Third-Party Tools and Platforms

Our services may involve the use of third-party tools, platforms, and software. OrcaLumi does not own, control, or guarantee the availability, accuracy, or performance of these tools. Your use of third-party tools is subject to their own terms and conditions.

12. Confidentiality

In the course of a consulting engagement, both parties may share confidential information. Each party agrees not to disclose the other’s confidential information to any third party without prior written consent, except where required by law or where the information is already publicly available through no fault of the receiving party.

Specific confidentiality obligations may be set out in individual client agreements.

13. Limitation of Liability

To the maximum extent permitted by law, OrcaLumi’s total liability arising from or in connection with these Terms, the website, or any service provided will not exceed the amount you paid to OrcaLumi for the relevant service in the 12 months preceding the claim.

OrcaLumi is not liable for any indirect, incidental, consequential, or special loss or damage, including lost profits, lost data, or business interruption, however caused.

For free content and website use where no fees have been paid, OrcaLumi’s liability is limited to nil.

14. Disclaimer

OrcaLumi provides consulting, workflow design, and training services for general business purposes. Our services do not constitute professional advice in legal, financial, accounting, or other regulated fields. You are responsible for evaluating how any solutions, tools, or strategies are applied within your own business and for ensuring compliance with any applicable laws or regulations.

15. Privacy

We collect and handle personal information in accordance with the Australian Privacy Principles under the Privacy Act 1988 (Cth). Please refer to our Privacy Policy for details on how we collect, use, store, and disclose your information.

16. Modifications to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated “Last updated” date. Continued use of our website or services after any changes constitutes acceptance of the revised Terms.

17. Termination

We reserve the right to suspend or terminate your access to our website or free content if you breach these Terms.

Termination of consulting engagements is governed by the individual client agreement. Where no specific termination provisions exist in a client agreement, either party may terminate with 14 days’ written notice, and you will be invoiced only for work completed up to the date of termination.

18. Dispute Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute arising from these Terms or any engagement in good faith through direct negotiation. If the dispute is not resolved within 30 days, either party may pursue resolution through the courts of New South Wales.

19. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of New South Wales.
